Welcome to Wanepass. These Terms of Service ("Terms") govern your access to and use of the Wanepass website, mobile applications, and services (collectively, the "Platform" or "Services"), provided by Wanepass Inc. ("Wanepass," "we," "us," or "our").
Please read these Terms carefully before using the Platform. By creating an account, buying a ticket, or listing an event, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
1. Description of the Services
Wanepass is an online platform that allows users to discover, share, and book tickets for experiences, including concerts, festivals, and professional gatherings.
- The Platform's Role: Wanepass provides the technology platform that facilitates ticketing and discovery. We are not the creator, organizer, or host of the events listed on the Platform.
- The Organizer's Role: Independent event hosts ("Organizers") are solely responsible for ensuring their events are safe, accurate, and conducted in accordance with local laws.
2. Account Registration and Security
To access certain features, including purchasing tickets or creating event listings, you must register for an account.
- You must provide accurate, current, and complete information during registration.
- You are entirely responsible for maintaining the confidentiality of your password and account activity.
- You must notify Wanepass immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
3. Specific Terms for Ticket Buyers (Attendees)
3.1. Purchases and Pricing
- All ticket prices are set directly by the Organizer, not by Wanepass.
- Purchases may be subject to additional non-refundable transaction fees and service fees ("Service Fees"), which will be displayed clearly before you complete your purchase.
- You agree to pay all charges incurred by your account, including applicable taxes.
3.2. Refunds and Cancellations
- All sales are final unless otherwise stated by the Organizer's specific event policy or required by local law.
- If an event is cancelled, postponed, or significantly rescheduled, refunds are governed by the Organizer’s policy.
- Wanepass’s Service Fees are typically non-refundable, as they cover the cost of payment processing and technical allocation.
4. Specific Terms for Event Organizers (Hosts)
4.1. Event Creation and Content
- As an Organizer, you grant Wanepass a non-exclusive, worldwide, royalty-free license to display, market, and distribute the text, images, and media you upload ("Organizer Content") to promote your event.
- You warrant that you own or have the legal right to use all content, logos, and trademarks uploaded to your event page.
- You are solely responsible for obtaining all necessary permits, insurance, and licenses required to host your event.
4.2. Ticketing Revenue and Payouts
- Wanepass acts as a limited payment collection agent solely for the purpose of accepting payments from buyers on your behalf.
- Payouts of ticket revenues (minus applicable Wanepass service fees, processing fees, and withholding taxes) will be processed according to our standard payout schedule, typically within 5-7 business days following the successful completion of the event.
- Wanepass reserves the right to withhold payouts if there is a high risk of chargebacks, customer disputes, or suspected fraudulent activity.
4.3. Cancelled or Altered Events
- If you cancel an event, you are entirely responsible for notifying buyers and funding the full refund of all ticket purchases.
- If you fail to fulfill your refund obligations for a cancelled event, Wanepass reserves the right to recover those funds from you through any legal means, including withholding future payout balances.
5. Prohibited Conduct
When using Wanepass, you agree not to:
- List or promote illegal, fraudulent, or explicitly harmful events.
- Use the Platform to scrape data, distribute spam, or transmit malware.
- Resell Wanepass tickets on unauthorized third-party platforms for commercial profit without explicit permission.
- Impersonate any person or entity, or falsely state your affiliation with an event or brand.
6. Intellectual Property
The Platform’s design, code, branding, text, graphics, and logos are the intellectual property of Wanepass Inc. and are protected by copyright, trademark, and other proprietary laws. You may not copy, modify, or distribute any part of our Platform without our prior written consent.
7. Disclaimers and Limitation of Liability
7.1. "As Is" Basis
The Services are provided on an "as is" and "as available" basis. Wanepass explicitly disclaims any warranties of merchantability, fitness for a particular purpose, or non-infringement.
7.2. Limitation of Liability
To the maximum extent permitted by law, Wanepass (including Wanepass Inc., its directors, employees, and partners) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or data.
- The behavior, conduct, or safety standards of any attendee or Organizer at a physical event.
- The cancellation, postponement, or scheduling changes of any event listed on the Platform.
In no event shall Wanepass’s total liability exceed the total amount of Service Fees paid by you to Wanepass in the three (3) months preceding the claim.
8. Indemnification
You agree to defend, indemnify, and hold harmless Wanepass and its affiliates from any claims, damages, liabilities, losses, or expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Platform, or your violation of any third-party rights (including intellectual property or attendance issues at physical events).
9. Changes to These Terms
We reserve the right to modify these Terms at any time. When changes are made, we will update the "Last Updated" date at the top of this page. If a modification is material, we will provide you with prominent notice (such as an email or an in-app alert). Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the courts located in Calgary, Alberta.
